Terms of Service

Effective date: 9‑Sep‑2025

Beta period: Through 9-Sep-2025, features are experimental and provided “as is.”

1) Agreement

These Terms govern your access to and use of the websites, software, and services provided by AgentsVerse Private Limited (“AgentsVerse”). By using the Services, you agree to these Terms.

2) Eligibility & Accounts

You must be at least 18 and authorized to bind your company. Keep credentials confidential and notify us of any unauthorized use.

3) Beta Program

During Public Beta, features may change, performance may vary, and data may be reset. Beta is not recommended for mission-critical workloads. We may modify or terminate beta access at any time.

4) Services & Availability

We will make commercially reasonable efforts to keep the Services available, subject to maintenance, updates, or events beyond our control.

5) Customer Data & Outputs

• Ownership: You retain all rights to Customer Data (data you submit) and to the Outputs generated for your account.
• License to operate the service: You grant us a limited license to host, process, transmit, and display Customer Data and Outputs to provide the Services and support.
• Your responsibilities: You are responsible for (i) the accuracy and legality of Customer Data; (ii) complying with third-party terms for data sources and integrations you connect; and (iii) obtaining any required consents.

6) Acceptable Use

You will not: (a) violate laws or third-party rights; (b) attempt to access the Service or data without authorization; (c) probe, scan, or test the vulnerability of systems; (d) send spam or unlawful communications; (e) use Outputs to create or distribute malware or for fraud; (f) resell the Service without our written consent.

7) Fees & Billing (post-launch)

Paid plans, usage limits, and pricing are described on our site. Fees are billed in advance and are non-refundable except where required by law or expressly stated. Taxes and duties are your responsibility.

8) Integrations & Third‑Party Services

You may enable integrations (e.g., Slack, CRM). These are governed by their own terms; we are not responsible for third-party services. We may exchange data with integrations per your configuration.

9) Confidentiality

Each party will protect the other’s Confidential Information and use it only as necessary to perform under these Terms.

10) Security & Data Protection

We implement appropriate measures as described in our Security Overview and, where applicable, our DPA.

11) IP Rights

We own all rights in the Services, documentation, logos, and underlying technology. You may provide feedback; you grant us a royalty-free, irrevocable license to use feedback to improve the Services.

12) Warranties & Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. During Beta, no uptime commitments apply.

13) Indemnification

You will defend and indemnify AgentsVerse from claims arising out of your misuse of the Services, your Customer Data, or your breach of these Terms.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

15) Term & Termination

These Terms continue until terminated. You may stop using the Services at any time. We may suspend or terminate access for breach or risk to the Services. Upon termination, you may export your data for a limited time, after which we will delete or anonymize it per our retention policy.

16) Changes to the Terms

We may update these Terms. We’ll post changes with an updated “Effective date” and notify you of material changes.

17) Governing Law & Disputes

India law, courts of Indore, Madhya Pradesh. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
